Socialnous Terms of Service

The User Agreement consists of these Terms of Service, our Privacy Policy, the Community Guidelines and all incorporated policies.


These Terms of Service (the "Terms") govern your access to and use of the services, websites and applications (the "Services") offered by Socialnous ("Socialnous", "our", "us" or "we") and the information, text, links, graphics, photos, audio, videos, or other materials or forms of materials appearing, downloaded or uploaded on the Services (collectively referred to as "Content"). Please read this statement thoroughly before using or continuing to use Socialnous. By accessing or using our Services you agree to be bound by these Terms.


1. Who May Use the Services

You may use the Services only if you agree to form a binding contract with Socialnous and are not barred from doing so under any applicable laws. In any case, you must be at least 13 years old to use the Services, but if you are below the age of 16 or such greater age required in your country, you will need to have your parent’s or guardian’s consent to agree to these Terms. If you are accepting these Terms and using the Services on behalf of a company, organisation, government, or any other kind of legal entity, you represent and warrant that you are authorised to do so and have the authority to bind such entity to these Terms, in which case the words “you” and “your”, as used in these Terms, shall refer to such entity.


2. Privacy

Our Privacy Policy (https://socialnous.co/legal/privacy) defines how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use, as set forth in the Privacy Policy, of this information.


3. Using the Services

Please review the Community Guidelines, which are part of the User Agreement and outline what is prohibited on the Services. You may only use the Services in compliance with these Terms and all applicable laws, rules and regulations.


Socialnous is part of the Internet, a place where things can change from time to time and so do our Services. We may choose to stop, permanently or temporarily, providing the Services or any features within the Services to you or to any user in general. We additionally retain the rights to create limits on the usage of our Services. We may likewise remove or refuse to distribute any Content on the Services, suspend or terminate accounts, and reclaim usernames without liability to you.


You agree that we may publicly display any Content or information from the Services whether submitted by yourself or other people. You also agree to not misuse our Services, for example, by interfering with them or accessing them using a method other the interface and the instructions that we provide. You may also not do any of the following while accessing or using our Services; access, temper with, or use non-public areas of the Services, Socialnous’ computer systems, or the systems of Socialnous’ providers; probe, scan or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures; access or search (or attempts to do so) the Services by any means (automated or not) other than by using our currently available and published interfaces, unless you have been specifically allowed to do so through a separate agreement with us (NOTE: crawling the Services is allowed as long as it is in accordance with the clauses in the robots.txt file, however, scraping the Services without any written prior permission by us is strictly prohibited); reproduce any TCP/IP packet headers or any part of the header information in e-mails, or in any way use the Services to distribute modified, illusory or false source-identifying information; or interfere with or disrupt (or attempts to do so) the access of any user, host or network, including but not limited to, sending a virus, overloading, flooding, mail-bombing, spamming the Services, or by automating (scripted or not) the creation of Content in such a way as to interfere with or create an inordinate load on the Services.


We also reserve the rights to access, disclose, store, read and use any information as we judiciously believe is necessary to; comply with a law, regulation, legal process, or governmental investigation or request; enforce these Terms of Service, including the investigation of any potential violation of these Terms of Service; detect, prevent, or otherwise address fraud, security or technical issues; respond to user support requests; or protect the rights, properties or safety of Socialnous, its users and the public. Socialnous does not disclose personally-identifying information to third parties unless otherwise stated in our Privacy Policy.


3.1 Your Account

You may need to create an account to use some (parts) of our Services. You are responsible for keeping your account secure, so use a strong password and only use it for this account. We endorse the use of a password manager to generate strong and unique passwords, not only for Socialnous but also for other services. We cannot and will not be held liable for any loss or damage as result of your incompetence to comply with the above.


When you use our Services, you may receive e-mail based messages, browser-based notifications, or push notifications on mobile devices. While you can control most of these communications, we may need to provide you with service announcements and administrative messages, to ensure the continuation of the Services. These communications are considered part of the Services and your account, and you may not be able to opt-out from receiving them. If you change or deactivate the telephone number associated with your account, you must update your account information to ensure that you and not someone who has acquired your telephone number keep receiving our communications.


3.2 Your License to Use the Services

Socialnous grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you as part of the Services. The aforementioned license has the sole purpose of enabling you to use and enjoy the benefits of the Services as provided by Socialnous, as is permitted by these Terms.


Nothing in the Terms gives you the rights to use the Socialnous name or any of the Socialnous logos, domain names, and other distinctive brand features. All right, title and interest in and to the Services (excluding all Content provided by users) are and will remain the exclusive property of Socialnous and its licensors.


3.3 Ending These Terms

You may end your legal agreement with us at any point in time by deleting your account(s) and discontinuing your use of the Services.


We may suspend or terminate your account or discontinue providing you with all or part of the Services at any point in time for any or no reason, including, but not limited to, if we judiciously believe that: you have violated these Terms or the Community Guidelines, you create risk or possible legal exposure for us, your account should be removed due to unlawful conduct, your account should be removed due to prolonged inactivity, or our provision of the Services to you is no longer commercially viable. Depending on the circumstances we will try to inform you by sending an e-mail to the e-mail address associated with your account or the next time when you attempt to access your account. In all before-mentioned cases, the Terms shall terminate, including, without limitation, your license to use the Services, except that the following sections shall continue to apply: II, III, V, and VI.


4. Content on the Services

You are responsible for your use of the Services and for any Content you provide, including compliance with any applicable law, rule, and regulation. You should only provide Content that you are comfortable with sharing with other people.


4.1 Your Rights

You retain the rights to the Content you display, post or submit on or through the Services. You are free to share before-mentioned Content with anyone else, wherever you want.


Whenever you display, post or submit any Content, that is covered by intellectual property rights, on or through our Services, you provide us with a non-exclusive, royalty-free, sub-licensable, transferable, worldwide license to adapt, copy, display, distribute, modify, publish, process, reproduce, transmit and use such Content. You can end this license any time by deleting your Content or account. You should know that Content you delete may continue to exist if you have shared it with other people and they have not deleted it.


You furthermore guarantee that you have, or have obtained, all consents, licenses, permissions, rights and/or authority necessary to grant us the above-described license for any Content that you display, post or submit on or through the Services. If you do not have the necessary permission or legal entitlement you should refrain from displaying, posting or submitting such Content on or through our Services.


5. Limitations of Liability

Socialnous will in no event be liable for any special, incidental, indirect, or consequential damages whatsoever arising from your access to or use of, or inability to access or use, the Services.


6. Changes to These Terms of Service

Socialnous has the discretion to revise these Terms at any point in time. The most recent version of the Terms will always be available at https://socialnous.co/legal/tos. If we make changes that, according to our sole consideration, are of any substantial size, to the Terms we will notify you via an @Socialnous update or by sending an e-mail to the e-mail address associated with your account. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.


In the event that any clause of these Terms is deemed to be invalid or unenforceable, then that clause shall be limited or eliminated to the minimum extent necessary, and the remaining clauses of these Terms will continue to be in full force and effect. Socialnous' incompetence to enforce any rights derived from or clauses dictated by these Terms will not be considered a rejection of such rights or clauses.
